So tell us all about the deal. And we do mean all about it. What is your background? Tell us about the other party? What are your plans after the transaction? Perhaps most importantly, tell us what items or issues are most important to you as we start down this path.

Why do we ask questions like this first?

Because whenever we work on a merger or acquisition, we want to begin with the end in mind. We want to know right from the outset about how things will look after the sale or acquisition. What will the relationship between the buyer and seller look like after the sale? Will the seller be consulting for the buyer, assisting in the transition to new ownership? Will the seller be financing a significant portion of the purchase price?

We need this information because we want to be sure to negotiate and structure the transaction so it can be implemented successfully by the parties after the closing. A consulting relationship between the parties is not going to be successful after the closing if during the negotiations the buyer and its lawyers bludgeon the seller to death. Likewise, if the seller is dependant on the buyer's cash flow after the closing for a substantial part of the purchase price, it can be a huge mistake to squeeze the buyer so hard during negotiations that it cannot make ends meet after the closing.
